Reviews:
This book is aimed at American businesses that are mid sized ($10 million+) however, so much is still relevant to Aussie small businesses. I used it as a guide to maximise the value on the sale of my business. There are no books like this aimed at small businesses that I can find (here in Australia) that outline how you sell a small business. Normally you go to a broker and argue with them about how much your business is worth, or even worse speak to your accountant and get told its worth nothing! This book shows you how to write an Offering Document (the BEST part of the book.) Nobody knows your business like you do! This document shows the buyer (also the broker and the accountant!) just how fantastic your business is. The end result is that everyone is on the same page as you. The other parts make a good read, especially the last section "Part of Tens" which is just a fancy way of saying lists of 10 things. For example 10 big mistakes in buying and selling a business (aka Mergers and Acquisitions or M&A) and 10 ways to solve valuation differences. Don't forget this book is just a part of your research process. It's directed towards the US market so read it with that in mind. I skipped over the stuff I didn't feel was relevant. Overall it helped me to achieve what I wanted, a better valuation for my business. The Big B

7. The Handbook Of Mergers And Acquisitions [Book]

Product Details:
With its inception at the end of the nineteenth century as a means of consolidation and reorganization, mergers and acquisitions (m&a) have since become quasi-institutionalized as one of the primary strategic options for organizations, as they seek to secure their position in an ever more competitive and globalizing market place. despite the optimism surrounding m&a as strategic moves, research on post-merger company performance suggests that most firms engaging in m&a activity do not achieve the sought-after performance targets, either immediately or in the years following the deal. what is it that drives m&a activity when research results do not support the performance expectations of these undertakings? alternatively, have m&a scholars got it all wrong in the way that m&a performance is measured? is the topic too complex, enduring, and multifaceted to study? the handbook argues that the field of m&a is in need of a re-rooting: past research needs to be critically reviewed, and fundamental assumptions revisited. a key issue preventing efforts in the practice and study of m&a from achieving dynamic syntheses has been the disciplinary gulf separating strategy, finance, and human relations schools. the handbook aims to bridge the hitherto separate disciplines engaged in the study and practice of m&a to provide more meaningful results. toward this end, the handbook brings together a set of prominent and emerging scholars and practitioners engaged in the study of m&a to provide thought-provoking, state of the art overviews of m&a through four specific 'lenses' – strategic, financial, socio-cultural, and sectorial approaches. by summarizing key findings in current research and exploring ways in which the differing approaches could and should be 'synthesized', it aims to highlight the key issues facing m&a practitioners and academics at the dawn of the third millennium.

15. M&a Titans: The Pioneers Who Shaped Wall Street's Mergers And Acquisitions Industry [Book]

Product Details:
This book focuses on the 11 men, lawyers and bankers, who are responsible for the creation of wall street's merger industry. it specifically concentrates on the events and personalities who dominated wall street during the takeover battles of the 1970s and 1980s. lawyers joe flom and marty lipton, the godfathers of modern m&a, educated bankers on takeover laws and regulations as well as tactics. flom and lipton were also superlative businessmen who built their own firms to become wall street powerhouses. the two men drew into their orbit a circle of bankers. felix rohatyn, ira harris, steve friedman, geoff boisi, eric gleacher and bruce wasserstein were close to lipton. robert greenhill and joe perella were close to flom. m&a titans provides insight into the culture of the different investment banks and how each of the bankers influenced the firms they worked in as they became more powerful. some such as gleacher, harris, wasserstein, perella and greenhill clashed with the men running their firms and left. others such as friedman and boisi stayed and profoundly influenced how the firm did business. the career of michael milken, perhaps the notorious name on wall street in the 1980s, is also examined as well as the actions and tactics of his firm, drexel burnham lambert. milken and drexel paved the way for the growth of private equity and helped popularize attacks on management by investors such as boone pickens and carl icahn.

16. The M&a Solution: A Values-Based Approach To Integrate Companies [Book]

Product Details:
At least 75% of all mergers and acquisitions fail. it doesn't have to be that way. don scales has been in the professional services business for more than three decades. during that time, he has been involved in more than forty m&a deals, on both the buyer and seller side. he has learned firsthand what works and what doesn't, and has long thought about writing a book to share his knowledge with others. the m&a solution: a values-based approach to integrate companies is the result of his realization that participants in m&a transactions often fail to focus on one important factor–corporate values. corporate management teams have known for decades that competing values and culture clashes put more deals at risk than any other single factor. yet, because values are hard to measure, they are often ignored when due diligence is being done. don gives the reader the benefit of his experience and knowledge when it comes to analyzing values for fit. by using don's methods to focus on corporate values, management teams can mitigate culture-clash risk and increase the odds of succeeding. it's that simple.

18. Regulating Mergers And Acquisitions Of U.s. Electric Utilities: Industry Concentration And Corporate Complication [Book]

Product Details:
What happens when electric utility monopolies pursue their acquisition interests undisciplined by competition, and insufficiently disciplined by the regulators responsible for replicating competition? since the mid-1980s, mergers and acquisitions of u.s. electric utilities have halved the number of local, independent utilities. mostly debt-financed, these transactions have converted retiree-suitable investments into subsidiaries of geographically scattered conglomerates. written by one of the u.s.'s leading regulatory thinkers–a litigating attorney, regulatory advisor, expert witness and law professor–this book combines legal, accounting, economic and financial analysis with insights from the dynamic field of behavioral economics. with a clear assessment of the 30-year march of u.s. electricity mergers, the author describes the economic losses that result when merger promoters and their transactions face neither the discipline of competition nor the rigors of regulation. this work is essential reading for regulatory practitioners, consumer advocates and investment advisors–as well as citizens concerned with concentration of economic power. the principles explored are relevant anywhere regulated utility monopolies have the legal right to merge, acquire or be acquired.
19. The Merger Mystery: Why Spend Ever More On Mergers When So Many Fail? [Book]

Product Details:
Statistical studies over the last forty-five years show that, although there are success stories, very many mergers and acquisitions do not result in the increased operating profits that economics textbooks would lead one to expect. as consultancy mckinsey have put it, 'anyone who has researched merger success rates knows that roughly 70% fail'. yet-mysteriously-merger and acquisition activity has boomed across the globe, with a forty-fold increase in deals done each year now compared with four decades ago, in spite of the adverse general evidence. how can it be that talented, energetic, highly skilled, law-abiding, income-maximising participants in the m&a market will often promote mergers that lead to no operating gains, frequently with adverse effects on the wider economy too? drawing on findings from a wealth of statistical analyses and case evidence from many businesses, the book presents answers to this merger mystery. in a synthesis of ideas from several disciplines, solutions are detected in misaligned incentives, distorted financial engineering and information asymmetry. by revealing how weaknesses at multiple points can interact and cumulate to produce inefficient outcomes, the discussion serves as a corrective to the overwhelmingly positive tone of most commentary on m&a, whilst also advocating changes in participants' contracts, in taxation, and in regulation which could significantly reduce the number of mergers that fail.designed to be accessible to a wide readership, the book will be of interest to investors, to m&a practitioners and commentators, to researchers and students of economics, political economy, finance, management and accounting, and-importantly-to policy makers working in these areas.
